SpectrAI Terms of Service

TERMS OF SERVICE
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "User", "you") and SpectrAI, an individual residing in the Republic of Bulgaria ("Provider", "SpectrAI", "we", "our", "us"), governing your access to and use of the SpectrAI platform, website, applications, APIs, and related services (collectively, the "Service").
Please read these Terms carefully before using the Service.
By creating an account, purchasing a subscription, acquiring Credits, accessing the Service, or otherwise using any part of the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
If you do not agree to these Terms, you must immediately discontinue use of the Service.

2. Eligibility
The Service is intended for individuals and organizations capable of entering legally binding agreements.
By using the Service you represent and warrant that:
- you are at least eighteen (18) years old; or
- if you are under eighteen but above the minimum legal digital consent age in your jurisdiction, you are using the Service under the supervision and responsibility of your parent or legal guardian;
and
- you have the legal capacity to enter into these Terms;
- you are not prohibited from receiving digital services under applicable law;
- you are not located in a jurisdiction where provision of the Service would violate applicable sanctions or export control laws.
If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
3. Description of the Service
SpectrAI is an online artificial intelligence platform that provides access to AI-powered tools and related digital services.
Depending on your subscription, the Service may include:
- AI text generation;
- image generation;
- image editing;
- image analysis;
- document processing;
- prompt management;
- AI workflows;
- API access;
- integrations with third-party providers;
- future features introduced by the Provider.
The Service continuously evolves.
We reserve the right to:
- modify features;
- improve functionality;
- discontinue features;
- replace AI models;
- introduce usage limitations;
- change infrastructure;
without prior notice where reasonably necessary for operation, security or legal compliance.
No specific model, feature, response time or output quality is guaranteed.
4. Accounts
Certain features require registration.
You agree to provide accurate and complete information during registration.
You are responsible for:
- maintaining confidentiality of your password;
- all activities performed through your account;
- keeping your contact information current.
You agree to immediately notify the Provider of any unauthorized access.
The Provider may rely on actions performed through your account unless proven otherwise.
5. Account Security
You must maintain reasonable security over your account.
You may not:
- share login credentials;
- sell your account;
- rent your account;
- transfer your account without authorization;
- allow unauthorized third parties to use your account.
The Provider may suspend accounts that appear compromised until ownership can be verified.
6. Free Accounts
The Provider may offer a free plan.
Free plans may include limited functionality, limited AI requests and promotional Credits.
Free plans may change or be discontinued at any time.
The Provider does not guarantee continued availability of any free tier.
7. Credits
Certain functionality consumes virtual Credits.
Credits represent a technical measure of resource consumption only.
Credits:
- are not money;
- are not electronic money;
- are not cryptocurrency;
- are not securities;
- are not investment products;
- are not prepaid financial instruments;
- are not transferable property;
- cannot be exchanged for cash;
- cannot earn interest;
- cannot be pledged as collateral.
Credits exist solely to measure and allocate Service usage.
The Provider may introduce different categories of Credits including:
- Subscription Credits;
- Purchased Credits;
- Promotional Credits.
Each category may have different rules.
8. Subscription Credits
Subscription Credits are allocated as part of an active subscription.
Unless otherwise stated:
- Subscription Credits expire at the end of each billing cycle;
- unused Subscription Credits do not roll over;
- expired Subscription Credits cannot be restored.
If a subscription expires or is cancelled, any remaining Subscription Credits expire immediately upon termination of the applicable billing period.
9. Purchased Credits
Purchased Credits are acquired separately from subscriptions.
Purchased Credits remain available until used unless:
- required otherwise by applicable law;
- removed because of fraud;
- removed because payment is reversed;
- the Service permanently ceases operation.
Purchased Credits are personal to the purchasing account.
They cannot be:
- transferred;
- sold;
- gifted;
- exchanged;
- inherited;
- converted into money.
10. Promotional Credits
From time to time the Provider may issue promotional Credits.
Promotional Credits:
- have no monetary value;
- may expire;
- may be revoked;
- may contain additional conditions.
Promotional Credits are provided solely for marketing or promotional purposes.
The Provider may revoke promotional Credits obtained through abuse, fraud or multiple account creation.
11. Abuse Prevention
To maintain fair access to the Service, the Provider may implement reasonable technical and operational measures to detect and prevent abuse.
The following activities are prohibited:
- creating multiple accounts to obtain additional free Credits;
- using automated systems to register accounts;
- circumventing usage limits;
- exploiting software vulnerabilities;
- manipulating billing mechanisms;
- generating excessive or abusive workloads that negatively affect the Service.
Where abuse is detected, the Provider may suspend, limit or terminate access without prior notice.
12. Fair Usage
Certain plans may be subject to reasonable fair usage limitations.
Fair usage exists to ensure reliable operation for all Customers.
Where usage materially exceeds normal expected use for the purchased plan, the Provider may:
- temporarily reduce processing speed;
- apply technical limitations;
- recommend upgrading to a different plan;
- suspend abusive activity.
Fair usage limitations are not intended to restrict legitimate ordinary business use.
13. Changes to the Service
The Service is continuously developed.
The Provider may add, modify, replace or discontinue features, user interfaces, AI models, APIs or infrastructure.
Such changes do not constitute a breach of these Terms provided that the core functionality of the purchased Service remains substantially available during the applicable subscription period, except where changes are required for security, legal compliance, or circumstances beyond the Provider's reasonable control.
14. Subscription Plans
The Provider may offer one or more subscription plans that grant access to the Service for recurring billing periods.
Subscription plans may differ in:
- included features;
- available AI models;
- monthly Credit allocation;
- maximum usage limits;
- storage limits;
- API access;
- priority processing;
- support level;
- additional services.
Descriptions of current subscription plans are published on the Service and may be updated from time to time.
15. Billing
By purchasing a Subscription or Purchased Credits, you agree to pay all applicable fees displayed at the time of purchase.
All fees are stated in the currency presented during checkout.
Prices may exclude applicable taxes unless explicitly stated otherwise.
The Provider reserves the right to modify pricing for future purchases.
Price changes do not affect an already-paid billing period.
16. Payment Processing
Payments are processed by independent third-party payment providers, including Stripe or other payment processors selected by the Provider.
The Provider does not collect or store complete payment card numbers or payment authentication credentials.
Your payment information is processed directly by the payment processor in accordance with its own privacy and security standards.
The Provider is not responsible for errors, interruptions, delays or failures caused by payment processors.
17. Automatic Renewal
Unless cancelled before the renewal date, subscriptions automatically renew for successive billing periods.
By purchasing a subscription, you authorize recurring charges using your selected payment method.
You may disable automatic renewal at any time through your account settings.
Disabling renewal prevents future charges but does not affect the current paid subscription period.
18. Failed Payments
If payment cannot be successfully processed, the Provider may:
- retry payment;
- temporarily suspend access;
- reduce available functionality;
- cancel the subscription.
The Provider shall not be liable for any loss resulting from suspension caused by unsuccessful payment.
19. Refunds
Because the Service consists of digital software and cloud computing resources that become available immediately after purchase, all purchases are generally final.
Where permitted by applicable law, by purchasing a Subscription or Credits you expressly request immediate access to the Service and acknowledge that digital performance begins immediately after payment.
Refunds may be granted only:
- where required by mandatory applicable law;
- for duplicate payments;
- where payment was successfully completed but access to the purchased Service was not technically provided;
- at the Provider's sole discretion as a gesture of goodwill.
Unused Subscription Credits are not refundable.
Unused Promotional Credits are never refundable.
Purchased Credits are generally non-refundable after delivery, except where mandatory consumer protection law provides otherwise.
Nothing in these Terms limits any statutory consumer rights that cannot legally be waived.
20. Taxes
Customers are responsible for any taxes applicable in their jurisdiction unless applicable law requires the Provider to collect such taxes.
Where legally required, VAT or similar indirect taxes may be added during checkout.
21. AI Services
The Service provides access to artificial intelligence technologies supplied by the Provider and, where applicable, third-party technology providers.
Artificial intelligence systems are probabilistic by nature.
The Provider does not guarantee that AI-generated outputs will be:
- accurate;
- complete;
- current;
- unique;
- suitable for any particular purpose;
- legally compliant;
- free from bias;
- free from factual mistakes.
Outputs generated through the Service should always be independently reviewed before use.
22. Professional Advice Disclaimer
The Service is provided solely as a technological tool.
AI-generated content does not constitute:
- legal advice;
- medical advice;
- financial advice;
- accounting advice;
- engineering advice;
- investment advice;
- tax advice;
- professional consulting.
Customers remain solely responsible for all decisions made using generated content.
You should consult qualified professionals before relying on AI-generated information in situations involving legal rights, health, finances, safety or other significant matters.
23. Third-Party Artificial Intelligence Providers
To deliver certain features, the Service may use one or more independent third-party artificial intelligence providers.
Such providers may process Customer prompts and submitted content solely as necessary to generate requested outputs.
The identity, capabilities, availability and pricing of third-party providers may change without prior notice.
The Provider does not guarantee uninterrupted availability of any particular AI model or provider.
Where third-party providers process Customer data, such processing is governed by the Provider's Privacy Policy and, where applicable, the third party's own legal terms.
24. Customer Content
Customers retain ownership of the lawful content they submit to the Service.
By using the Service, Customers grant the Provider a worldwide, non-exclusive, royalty-free license solely to the extent necessary to:
- provide the Service;
- process AI requests;
- store conversations where enabled;
- perform technical support;
- investigate abuse;
- comply with legal obligations;
- maintain platform security.
This license automatically terminates when retention of Customer Content is no longer necessary under applicable law or the Provider's data retention policies.
25. AI Training
The Provider does not use Customer Content to train its own proprietary artificial intelligence models.
However, certain third-party AI providers used to deliver requested functionality may process Customer Content according to their own terms and privacy policies.
Customers acknowledge that such third-party processing may occur where necessary to provide requested AI functionality.
26. Generated Content
Subject to applicable law, Customers retain any rights they may have in AI-generated outputs produced specifically for them.
The Provider does not claim ownership of Customer-generated outputs.
However, the Provider does not guarantee that generated outputs are:
- original;
- exclusive;
- copyrightable;
- patentable;
- suitable for commercial use.
Similar or identical outputs may be generated for other users.
Customers are solely responsible for determining whether generated content may legally be used for their intended purpose.
27. Intellectual Property
The Service, including without limitation:
- software;
- source code;
- platform architecture;
- databases;
- APIs;
- documentation;
- trademarks;
- trade names;
- logos;
- workflows;
- prompts created by the Provider;
- user interface designs;
- graphics;
- audiovisual materials;
- proprietary algorithms;
remain the exclusive property of the Provider or its licensors.
Nothing in these Terms transfers ownership of any intellectual property rights to Customers.
28. License
Subject to compliance with these Terms, the Provider grants Customers a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Service during an active subscription or while otherwise authorized.
Customers may not:
- copy the Service;
- reverse engineer the Service except where expressly permitted by applicable law;
- create derivative works of the Service;
- sublicense the Service;
- lease the Service;
- resell access to the Service;
- use automated means to scrape the Service;
- remove copyright notices;
- circumvent security mechanisms;
- interfere with the operation of the Service.
Any rights not expressly granted remain reserved by the Provider.
29. Acceptable Use
Customers agree to use the Service responsibly, lawfully, and in good faith.
The Service may only be used for legitimate purposes consistent with these Terms and applicable laws.
Customers remain solely responsible for all prompts, inputs, uploaded materials, generated outputs, and actions performed through their accounts.
30. Prohibited Activities
Customers shall not use the Service to:
- violate any applicable law or regulation;
- infringe intellectual property rights;
- impersonate another individual or organization;
- commit fraud or facilitate fraudulent activity;
- distribute malware, ransomware, spyware or malicious code;
- conduct phishing or credential theft;
- generate or distribute unlawful sexual exploitation material;
- promote terrorism or violent extremist activities;
- facilitate human trafficking or exploitation;
- harass, threaten or unlawfully intimidate others;
- deliberately generate defamatory content;
- violate privacy rights;
- collect personal information without authorization;
- bypass security mechanisms;
- probe or scan the infrastructure without authorization;
- overload, disrupt or interfere with Service availability;
- circumvent rate limits or technical restrictions;
- create multiple accounts for abusive purposes;
- abuse free Credits;
- attempt to gain unauthorized access to any systems;
- reverse engineer proprietary AI workflows beyond rights granted by applicable law;
- use automated scraping tools against the Service;
- use the Service to develop or improve competing AI platforms through systematic extraction of outputs;
- use the Service in violation of export control or sanctions laws.
31. Sensitive Use Cases
Unless expressly authorized in writing by the Provider, the Service must not be relied upon as the sole basis for decisions involving:
- medical diagnosis or treatment;
- emergency response;
- aviation;
- autonomous weapons;
- critical infrastructure;
- criminal sentencing;
- immigration decisions;
- child protection decisions;
- life-support systems;
- nuclear facilities.
Customers remain solely responsible for ensuring appropriate human oversight.
32. Abuse Detection
The Provider may implement automated and manual systems to detect abuse, fraud, security incidents, excessive usage, or violations of these Terms.
Such monitoring is performed solely to protect the integrity, security, availability, and lawful operation of the Service.
33. Suspension
The Provider may immediately suspend access to the Service where reasonably necessary to:
- investigate suspected abuse;
- protect platform security;
- comply with legal obligations;
- prevent fraud;
- prevent financial loss;
- respond to requests from competent authorities;
- prevent harm to other users;
- enforce these Terms.
Where reasonably practicable, the Customer will be notified of the suspension.
Suspension does not terminate payment obligations already incurred.
34. Termination
Customers may terminate their account at any time.
The Provider may terminate or permanently disable an account where:
- these Terms are materially violated;
- fraudulent activity is detected;
- payment fraud occurs;
- repeated abuse is identified;
- unlawful activity is suspected;
- continued access presents security risks.
Termination does not affect rights or obligations accrued before termination.
35. Effect of Termination
Upon termination:
- access to the Service may immediately cease;
- unused Subscription Credits expire;
- Promotional Credits expire;
- Purchased Credits may remain available only where technically and legally possible and where the account is not terminated due to fraud or unlawful conduct;
- the Provider may delete Customer Content following applicable retention requirements.
Certain provisions of these Terms survive termination, including those relating to intellectual property, liability, dispute resolution, indemnification and governing law.
36. Beta Features
From time to time, the Provider may offer beta, preview, experimental or early-access features.
Beta features:
- may contain bugs;
- may change without notice;
- may be discontinued;
- may not achieve production-level performance.
Customers use beta features entirely at their own risk.
37. Availability
The Service is provided on an "AS IS" and "AS AVAILABLE" basis.
The Provider does not guarantee uninterrupted or error-free operation.
Availability may be affected by:
- maintenance;
- infrastructure failures;
- internet outages;
- cloud provider failures;
- AI provider availability;
- cyberattacks;
- governmental actions;
- events beyond the Provider's reasonable control.
The Provider will make commercially reasonable efforts to maintain reliable operation.
38. No Warranty
To the fullest extent permitted by applicable law, the Provider disclaims all warranties, whether express, implied or statutory, including without limitation warranties of:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- uninterrupted availability;
- error-free operation;
- compatibility with third-party software;
- accuracy of generated content.
The Customer acknowledges that artificial intelligence technologies may produce inaccurate, incomplete or unexpected outputs.
39. Limitation of Liability
To the maximum extent permitted by applicable law, the total aggregate liability of the Provider arising out of or relating to the Service shall not exceed the greater of:
(a) the total amount actually paid by the Customer to the Provider during the twelve (12) months immediately preceding the event giving rise to the claim; or
(b) one hundred (100) Euro.
Under no circumstances shall the Provider be liable for any:
- indirect damages;
- incidental damages;
- consequential damages;
- punitive damages;
- exemplary damages;
- loss of profits;
- loss of business opportunities;
- loss of anticipated savings;
- business interruption;
- reputational harm;
- data loss;
- corruption of information;
- loss arising from AI-generated outputs.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
40. Indemnification
The Customer agrees to defend, indemnify and hold harmless the Provider, its contractors, affiliates, licensors and service providers from any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising from:
- violation of these Terms;
- unlawful use of the Service;
- infringement of third-party rights;
- Customer Content;
- misuse of AI-generated outputs;
- negligent or intentional misconduct.
41. Force Majeure
The Provider shall not be liable for any delay or failure to perform resulting from circumstances beyond its reasonable control, including but not limited to:
- natural disasters;
- earthquakes;
- floods;
- fires;
- war;
- terrorism;
- civil unrest;
- labor disputes;
- governmental restrictions;
- sanctions;
- internet failures;
- cloud infrastructure outages;
- denial-of-service attacks;
- failures of telecommunications providers;
- failures of third-party AI providers.
Performance shall resume as soon as reasonably practicable after the force majeure event has ceased.
42. Export Compliance
Customers agree to comply with all applicable export control, trade sanctions and import regulations.
The Service may not be used where prohibited by applicable sanctions laws.
The Provider reserves the right to refuse or terminate access where required to comply with applicable export control or sanctions regulations.
43. Changes to these Terms
The Provider may update these Terms from time to time.
Material changes will become effective upon publication on the Service or upon reasonable notice to Customers.
Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
If a Customer does not agree to the revised Terms, they must discontinue use of the Service before the changes take effect.
44. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Bulgaria, excluding its conflict of law principles.
Nothing in these Terms limits mandatory consumer rights that apply under the laws of the Customer's country of habitual residence where such rights cannot legally be waived.
45. Dispute Resolution
Before initiating legal proceedings, the parties agree to make reasonable efforts to resolve disputes through good-faith negotiations.

The parties shall attempt to resolve the dispute within thirty (30) days after written notice.
Nothing in this section limits the right of either party to seek urgent injunctive or equitable relief where necessary.
Consumers residing within the European Union may also have access to statutory consumer dispute resolution mechanisms available under applicable law.
46. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The invalid provision shall be interpreted or replaced to most closely reflect its original commercial intent while remaining legally enforceable.
47. Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, Refund Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between the Customer and the Provider concerning the Service.
They supersede all prior agreements, understandings and communications relating to the same subject matter.
